1. Introduction

These Terms and Conditions ("Terms") govern the use of services provided by Dig IT Solutions ("we", "us", or "our"), including but not limited to IT support, consultancy, software services, and CCTV installation and monitoring.

By engaging our services or accessing our website, you ("the client", "you", or "your") agree to be bound by these Terms. If you do not accept these Terms, you must not use our services.

2. Services We Provide

Dig IT Solutions offers:

  • Managed IT support and consultancy
  • Cloud solutions and infrastructure management
  • Cybersecurity services
  • Network setup and support
  • CCTV system installation and support
  • Hardware and software procurement

Details of each service will be defined in separate service agreements or statements of work (SOW) agreed upon by both parties.

3. Client Responsibilities

To ensure smooth service delivery, the client agrees to:

  • Provide accurate and complete information when requested
  • Ensure necessary access to premises, systems, and personnel
  • Maintain proper licenses for any third-party software
  • Use services lawfully and not for any fraudulent or illegal activity
  • Take reasonable steps to safeguard login credentials and systems

4. CCTV Installation & Monitoring

For clients who use our CCTV services:

  • All installations will be carried out in accordance with UK law, including the Data Protection Act 2018 and ICO guidelines.
  • Clients are responsible for registering with the Information Commissioner’s Office (ICO) if required.
  • Where cloud-based CCTV storage is provided, retention periods and access controls will be agreed in writing.
  • We do not actively monitor footage unless this is a specifically contracted service.

5. Fees & Payment Terms

  • All fees will be clearly outlined in our service proposal or SOW.
  • Invoices are payable within 30 days of the invoice date unless otherwise agreed.
  • Late payments may incur interest at 8% above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Services may be suspended or terminated for non-payment.

6. Service Availability & Support

We aim to provide a high level of uptime and responsiveness, but no service can be guaranteed 100% free from interruptions.

  • Support hours and SLAs (Service Level Agreements) are outlined in your specific agreement.
  • Emergency support outside of agreed hours may be subject to additional charges.

7. Intellectual Property

All materials, software, scripts, or configurations developed by Dig IT Solutions remain our intellectual property unless otherwise agreed in writing.

Clients are granted a non-transferable, non-exclusive license to use any deliverables solely for their internal business use.

8. Confidentiality

Both parties agree to keep all sensitive or confidential information private and not disclose it to third parties without written consent, except where required by law.

This obligation continues after the termination of services.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, business interruption, or data loss.
  • Our total liability in connection with any service shall not exceed the total fees paid by the client for that service in the preceding 12-month period.
  • We are not liable for issues caused by third-party services or software.

10. Termination

Either party may terminate the agreement with 30 days' written notice, or immediately if the other party breaches a material term and fails to remedy it within 14 days of notice.

Upon termination, the client must pay any outstanding fees, and both parties must return or destroy any confidential information upon request.

11. Website Use

By using our website, you agree not to:

  • Reproduce, duplicate, or exploit any part of the site without express written permission
  • Introduce viruses, malicious code, or attempt unauthorized access
  • Misuse any forms or automated tools

We reserve the right to update or remove content, suspend access, or restrict functionality at any time.

12. Privacy

We handle all personal data in accordance with our Privacy Policy, which complies with UK GDPR and data protection laws. By using our services, you consent to our handling of your data as outlined in that policy.

13. Force Majeure

We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, pandemics, strikes, utility failures, or cyberattacks.

14. Changes to Terms

We may update these Terms from time to time. The latest version will always be available on our website. Continued use of our services constitutes acceptance of any updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
